CHESHAM BOIS CATHOLIC PLAYERS RULES Agreed AGM June 2016 Rules of Membership
RULE NO 1
The name of the Society shall be ‘The Chesham Bois Catholic Players’.
RULE NO 2
The objects of the Society shall be:
2.1 To promote public education in and appreciation of the Art of Drama by the presentation of public performances and by such other ways as the Society shall determine from time to time.
2.2 To promote charitable purposes and to support any charitable institutions as determined from time to time.
2.3 To support the Trustees of the Little Theatre to maintain a home for CBCP.
RULE NO 3
3.1 There shall be two classes of Members:
• Adult members who shall be not less than eighteen years of age when they join.
• Junior members who shall less than eighteen years of age when they join.
3.2 Junior Members
3.2.1 Junior members and children of members may only attend auditions if a parent is present, unless otherwise agreed with the director.
3.2.2 Parents are responsible for the supervision of children in school year 11 and below at all times, unless chaperones are present or otherwise agreed with the director.
3.2.3 Junior members and children of members may only be cast in productions when there is a parental commitment to:
Support children in fulfilling their obligations for the production
Either appear on stage or in a backstage capacity, as agreed with the producer.
3.3.3 CBCP has the right to withdraw children from productions, if their parents fail to ensure appropriate supervision or to fulfil a supportive backstage role.
RULE NO 4
The annual subscriptions for Members and rates for performance fees will be as agreed from time to time by the Members in a General Meeting.
4.1 Subscriptions shall be due at 1st April each year and shall be payable not later than 1st June. Membership for those who have not paid by this date shall be suspended and such members shall not be eligible to participate in any activities of the Society or be eligible to exercise their voting rights until subscriptions are fully paid up. The Committee shall notify such members of their suspension.
4.2 Performance fees shall be paid by all performers on stage in a production (excluding the Caboodle) regardless of age. Performance fees do not need to be paid by the production team or backstage crew. A maximum payment is in place for families with children under 18 years of age where parents and their children are performing in the same production.
RULE NO 5
Life Members shall be Members of the Society whom it is desired to honour for outstanding past services. Life Members shall be entitled to all the privileges of Membership but shall not be required to contribute to the funds of the Society and shall be offered a free ticket for each production.
RULE NO 6
Voting rights shall be vested in Life and paid up Adult Members of the Society only.
RULE NO 7
7.1 The Officers of the Society shall consist of the Chairman, Vice Chairman, Secretary, Membership Secretary and Treasurer. One person cannot hold more than two of the aforementioned roles concurrently.
7.2 The Officers shall be elected annually in a General Meeting. Retiring Officers shall be eligible for re-election but the maximum period of consecutive service in any one post shall be three years.
7.3 The Treasurer shall be exempt from the maximum service requirement as stated in Rule 7.2.
RULE NO 8
8.1 The Society shall be governed by a Committee consisting of the Officers as outlined in Rule No 8 and up to a maximum of five other members of the Society.
8.2 The Committee shall have the power to co-opt Members to serve on the Committee when necessary and to form sub-committees.
No member of the Committee shall be less than eighteen years of age.
8.3 The Committee shall meet at least eight times a year; at any meeting of the Committee, five persons shall form a quorum.
8.4 In the event of a tie at any Committee meeting the Chairman of that meeting shall have a casting vote.
RULE NO 9
9.1 Nominations of Officers and other members of the Committee shall be in writing, to reach the Secretary no later than twenty one days before the date of the Annual General Meeting. Nomination papers shall be signed by the Members proposing and seconding and must be signed by the Member nominated as indication acceptance of nomination.
9.2 The Member nominated, proposing and seconding must be a paid up Adult Member or a Life Member.
RULE NO 10
10.1 It shall be the duty of the Committee to select from the Membership of the Society Producers to take charge of the main and subsidiary productions.
10.2 At each Annual General Meeting, the Committee shall bring forward the programme with dates of productions for the coming year.
RULE NO 11
11.1 It shall be the duty of the Director to select productions for submission to the Committee and to select casts, but the choice of production will be subject to the approval of the Committee.
11.2 The Director, who will bear the responsibility for the actual action on stage, shall select a Stage Manager, a Box Office Manager (should one be required) and, should he/she so wish, a Production Secretary who shall deal with all matters of production co-ordination.
These appointments shall be approved by the Committee.
RULE NO 12
12.1 The date of Annual General Meeting of the Society shall be set by the Committee and at this meeting the Annual Report and Accounts shall be presented.
12.2 The Auditor for the ensuing year shall be elected at the Annual General Meeting.
The retiring Auditor shall be eligible for re-election.
12.3 Twenty five percent of Adult Membership shall form a quorum at any General Meeting of the Society.
RULE NO 13
An Extraordinary General Meeting may be called by the Executive Committee or if requested in writing by twenty five percent of the Adult Membership.
RULE NO 14
Fourteen clear days notice of any General Meeting shall be given in writing to each individual member.
RULE NO 15
Minutes of all Resolutions and Proceedings at any General Meeting or Committee Meeting shall be made. These minutes, shall be conclusive evidence of the content of such meetings, when signed by the Chairman of the Meeting.
RULE NO 16
16.1 No rule or alteration to any existing rule shall be made unless it is agreed to by a majority at any General Meeting.
16.2 No alteration to these rules shall be made which would cause the Society to cease to be a charity at law.
16.3 Seven days notice shall be given in writing to each individual member, of proposed alterations.
RULE NO 17
17.1 The Society may at any time be dissolved by the consent of two-thirds of the Adult Members at an Extraordinary General Meeting convened for that purpose.
17.2 If the Society shall be dissolved, all assets shall be sold and, after absolving the Trustees of the Little Theatre Trust from any commitments on behalf of The Chesham Bois Catholic Players, any proceeds together with any cash in hand shall be devoted to charitable purposes.
RULE NO 18
All Members should conform to current policies and procedure. Any contingency not provided for by the Rules shall be dealt with at the discretion of the Committee.
